HACC Gen — Terms of Use / Terms of Service 

These Terms of Service ("Terms") govern your access to and use of HACC Gen, an AI-powered e-learning and training content generation platform operated by Dynamic Pixel Multimedia Solutions ("Dynamic Pixel", "HACC Gen", "we", "us", or "our").

By creating an account, accessing, or using HACC Gen, you agree to these Terms and the policies and terms incorporated into them. If you do not agree with these Terms, you must not access or use HACC Gen.

If you are using HACC Gen on behalf of a company, institution, or other organization, you represent that you have authority to accept these Terms on its behalf. In that case, "you" and "your" refer to both you and that organization.

1. About HACC Gen

HACC Gen is an AI-powered platform designed to facilitate human-AI collaboration for the creation, transformation, enrichment, and development of e-learning and training content.

Depending on the applicable plan and features, HACC Gen may provide capabilities including:

  • AI-assisted course and learning-content generation;
  • text generation and transformation;
  • document and source-content processing;
  • image generation;
  • audio generation;
  • video generation;
  • avatar and synthetic-media generation;
  • translation and language-related features;
  • instructional and assessment-content generation;
  • export of learning packages;
  • Moodle and other LMS integrations;
  • APIs and developer integrations; and
  • other current or future AI-assisted learning and content-development features.

Features available to you depend on your applicable plan, usage allowance, technical availability, and other applicable terms.


2. Eligibility and Account Registration

You must provide accurate and complete information when creating an account and must keep that information reasonably current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

You must not:

  • share your account credentials with unauthorized persons;
  • allow another person to use your account in violation of the applicable plan;
  • create an account using false or misleading information;
  • create multiple accounts for the purpose of circumventing usage restrictions; or
  • use another person's account without authorization.

You must notify HACC Gen promptly if you believe your account or credentials have been compromised.

HACC Gen may refuse, suspend, or terminate an account where permitted under these Terms.


3. Acceptance of Related Policies

Your use of HACC Gen is also subject to the following documents, as applicable:

  • Acceptable Use Policy;
  • Privacy Policy;
  • API Terms;
  • Data Processing Agreement, where separately executed; and
  • other terms expressly incorporated into these Terms.

These documents form part of the contractual framework governing your use of HACC Gen.

If a separately signed written agreement between you and Dynamic Pixel expressly conflicts with these Terms, that agreement will govern to the extent of the conflict.


4. Free and Paid Plans

HACC Gen may offer Free Plans, paid usage-based plans, enterprise arrangements, or other forms of access.

The features, usage allowances, pricing, credits, limitations, and conditions applicable to a particular plan are described in the applicable HACC Gen pricing, plan information, order information, invoice, or commercial agreement.

4.1 Free Plan

HACC Gen may provide a Free Plan with limited usage and features.

Free Plan usage may include limited allowances for text, images, audio, video, or other capabilities. Free Plan allowances are subject to the limits published by HACC Gen and may be changed from time to time.

Free Plan access does not necessarily constitute a recurring subscription.

4.2 Video Watermark

Videos generated under the Free Plan may include a visible HACC Gen watermark or branding.

Where a watermark is applied:

  • it is a feature of the Free Plan;
  • you may not remove, obscure, crop, manipulate, or circumvent the watermark;
  • you may use and distribute the video subject to the rights applicable to your plan; and
  • an eligible paid plan may provide watermark-free video generation or other branding options.

HACC Gen may change the placement, appearance, format, or technical implementation of the watermark.

Certain features may also require watermarking irrespective of plan due to third-party technology, licensing, or other applicable requirements.

4.3 Usage-Based Plans

HACC Gen may offer plans in which users purchase or consume usage-based credits or allowances rather than a recurring monthly or annual subscription.

The applicable pricing page, order information, invoice, or commercial agreement determines the applicable rates, credits, allowances, and features.


5. Payments, Credits and Taxes

Where paid services are offered, you agree to pay the applicable fees associated with your selected plan or usage.

Unless otherwise stated:

  • fees are based on the applicable pricing information at the time of purchase;
  • usage may be measured according to the applicable HACC Gen metering system;
  • taxes, duties, levies, or similar charges applicable to your purchase may be added where required;
  • you are responsible for providing accurate billing information; and
  • payment obligations are subject to the applicable pricing and plan information and any applicable commercial agreement.

Credits, allowances, or usage purchased for HACC Gen are not transferable unless expressly permitted.

HACC Gen may change pricing or introduce new charges for new or existing features subject to applicable notice requirements.


6. Refunds

Refunds, cancellations, unused credits, failed transactions, duplicate charges, and other payment matters are governed by the applicable HACC Gen pricing, plan, purchase, or commercial terms.

Unless otherwise stated in the applicable terms or required by applicable law, payment for consumed usage may not be refundable.

Nothing in these Terms limits any mandatory consumer rights that cannot lawfully be excluded.


7. Use of HACC Gen

Subject to these Terms and your applicable plan, Dynamic Pixel grants you a limited, non-exclusive, non-transferable, revocable right to access and use HACC Gen for legitimate purposes permitted by the Services.

You may use HACC Gen to create, develop, transform, or enhance learning and training content for your own educational, organizational, professional, or commercial purposes, subject to applicable plan restrictions.

You may not use HACC Gen except as expressly permitted by these Terms and applicable policies.


8. User Content

You may submit text, documents, files, images, audio, video, prompts, instructions, course material, data, or other content to HACC Gen ("User Content").

You retain ownership of your original User Content.

You grant Dynamic Pixel the rights reasonably necessary to host, process, transmit, transform, analyze, and otherwise use User Content as necessary to provide, maintain, secure, and improve the Services, subject to the HACC Gen Privacy Policy and any applicable agreement governing your account.

You represent and warrant that:

  • you own or have sufficient rights to submit your User Content;
  • you have obtained necessary permissions and consents;
  • processing the User Content through HACC Gen does not violate applicable law or contractual obligations; and
  • your User Content does not violate the Acceptable Use Policy.

You remain responsible for your User Content.


9. AI-Generated Output

HACC Gen may generate text, images, audio, video, assessments, courses, learning packages, or other output based on User Content, instructions, prompts, configurations, and AI technologies ("Generated Content").

AI-generated output may contain inaccuracies, omissions, bias, inappropriate material, errors, or other defects.

Generated Content may also be similar or substantially similar to content generated for other users.

You are responsible for reviewing and validating Generated Content before using, publishing, distributing, or deploying it.

HACC Gen does not guarantee that Generated Content will be:

  • accurate;
  • complete;
  • current;
  • error-free;
  • original;
  • suitable for a particular audience;
  • suitable for a particular purpose; or
  • free from third-party intellectual property rights.

You are responsible for determining whether Generated Content is appropriate for your intended use.


10. Rights in Generated Content

Subject to your applicable plan, these Terms, and third-party rights, HACC Gen permits you to use, modify, reproduce, publish, distribute, and otherwise exploit Generated Content for purposes permitted by your plan.

However:

  1. HACC Gen does not guarantee exclusive ownership of Generated Content.
  2. HACC Gen does not guarantee that Generated Content is legally protectable by copyright.
  3. Generated Content may contain or be based upon material subject to third-party rights.
  4. You remain responsible for obtaining any permissions required for third-party material.
  5. Your rights to Generated Content may be limited by the terms of third-party services or content used in generating it.

Where a particular plan provides additional rights or restrictions, those plan-specific terms will apply.


11. Third-Party Content

HACC Gen may provide access to or incorporate third-party content, models, media, libraries, services, or technologies.

Third-party content remains subject to the rights and terms of the applicable third party.

You are responsible for determining whether you have the right to use, reproduce, modify, publish, or distribute third-party material included in or associated with Generated Content.

HACC Gen does not grant you ownership of third-party content merely because that content is accessible through the Services.


12. Intellectual Property of HACC Gen

HACC Gen and its underlying technology, software, interfaces, workflows, algorithms, databases, documentation, trademarks, logos, designs, plugins, HACC Gen Extender, and proprietary materials are owned by Dynamic Pixel Multimedia Solutions or the applicable licensors.

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

You may not copy, reproduce, modify, reverse engineer, distribute, sell, sublicense, or create derivative works of HACC Gen or its proprietary components except where expressly permitted by applicable law or written authorization.

"HACC Gen", its logos, branding, product names, and related marks may not be used in a way that suggests unauthorized endorsement, affiliation, or ownership.


13. Acceptable Use

Your use of HACC Gen is subject to the HACC Gen Acceptable Use Policy.

You must not use HACC Gen for unlawful, fraudulent, abusive, harmful, deceptive, malicious, or otherwise prohibited activities.

The Acceptable Use Policy forms part of these Terms.

A violation of the Acceptable Use Policy may constitute a violation of these Terms and may result in restriction, suspension, or termination of access.


14. API Access

Certain HACC Gen plans and integrations may provide access to APIs.

API use is governed by these Terms and the applicable HACC Gen API Terms.

API users must:

  • protect API keys, secrets, tokens, and other credentials;
  • comply with applicable usage and rate limits;
  • use APIs only for authorized purposes;
  • implement reasonable security measures;
  • prevent unauthorized access;
  • comply with applicable technical documentation; and
  • not resell or redistribute API access unless expressly authorized.

API credentials may be associated with a particular account, organization, application, LMS, domain, or other identifier.

HACC Gen may restrict API access where credentials are compromised, misused, shared improperly, or used in violation of applicable terms.


15. Integrations and Third-Party Platforms

HACC Gen may provide integrations with third-party platforms, including learning management systems such as Moodle.

Use of a third-party integration may require separate credentials, configuration, permissions, or third-party accounts.

You are responsible for:

  • maintaining your third-party accounts;
  • configuring integrations correctly;
  • protecting integration credentials;
  • complying with third-party platform terms; and
  • ensuring that your use of the integration is authorized.

HACC Gen is not responsible for changes made by third-party platforms that affect an integration.


16. Third-Party AI and Technology Providers

HACC Gen may use third-party providers for artificial intelligence, cloud computing, hosting, storage, image generation, audio generation, video generation, translation, communications, analytics, or other services.

The availability and behavior of certain HACC Gen features may therefore depend on third-party services.

Third-party providers may change, restrict, discontinue, or modify their services, which may affect corresponding HACC Gen functionality.

HACC Gen may replace or modify third-party technologies where reasonably necessary to operate or improve the Services.


17. Privacy and Data Processing

Your use of HACC Gen is subject to the HACC Gen Privacy Policy.

The Privacy Policy describes how Dynamic Pixel collects, uses, stores, processes, and protects personal information.

Where you use HACC Gen to process personal information belonging to your employees, customers, learners, clients, or other individuals, you are responsible for ensuring that you have the necessary legal basis, notices, permissions, and authorizations.

Where required, Dynamic Pixel may enter into a separate Data Processing Agreement with eligible organizations.


18. Confidentiality

You may submit confidential information to HACC Gen only where you are authorized to do so and where the applicable service and contractual arrangements permit such processing.

Dynamic Pixel will use commercially reasonable measures to protect information handled through the Services as described in the Privacy Policy and applicable agreements.

You should not submit information to HACC Gen where you are prohibited from doing so by law, contract, policy, or confidentiality obligations.


19. Prohibited High-Risk Reliance

HACC Gen is not intended to replace qualified professional judgment in areas where inaccurate information could cause significant harm.

This includes, without limitation:

  • medical and healthcare decisions;
  • legal decisions;
  • financial decisions;
  • employment decisions;
  • safety-critical decisions;
  • regulatory decisions; and
  • other high-risk applications.

You may use HACC Gen to assist with educational or training material concerning such subjects, but appropriate expert review remains your responsibility.


20. Service Availability

HACC Gen is provided on an evolving technology platform.

We do not guarantee that:

  • the Services will always be available;
  • the Services will be uninterrupted;
  • every feature will remain available;
  • AI generation will always succeed;
  • output will always be generated within a particular period;
  • integrations will always remain compatible;
  • third-party services will remain available; or
  • the Services will be completely free of errors or defects.

We may perform maintenance, updates, upgrades, security changes, or other modifications that temporarily affect availability.


21. Changes to HACC Gen

We may add, modify, replace, suspend, or discontinue features, models, integrations, interfaces, or other components of HACC Gen.

Where reasonably practicable, we will provide notice of material changes that significantly affect paid services.

We may make changes without advance notice where necessary to address security issues, legal requirements, technical problems, third-party service changes, or other urgent circumstances.


22. Security

You must not interfere with the security or integrity of HACC Gen.

You must not:

  • attempt unauthorized access;
  • probe or test vulnerabilities without authorization;
  • bypass security controls;
  • introduce malicious code;
  • interfere with platform infrastructure;
  • access another user's information;
  • circumvent usage or access restrictions; or
  • otherwise compromise the security of the Services.

If you discover a potential security vulnerability, you should report it to Dynamic Pixel rather than exploiting it.


23. Suspension and Termination

You may stop using HACC Gen at any time, subject to any outstanding payment or contractual obligations.

Dynamic Pixel may suspend or terminate access if:

  • you materially breach these Terms;
  • you violate the Acceptable Use Policy;
  • you engage in fraudulent or unlawful activity;
  • your use creates a security or operational risk;
  • you misuse API credentials or platform resources;
  • you attempt to circumvent usage or payment restrictions;
  • payment obligations remain unpaid;
  • suspension is required by law; or
  • suspension is reasonably necessary to protect HACC Gen, its users, or third parties.

Where reasonably practicable, we may provide notice and an opportunity to address the issue.

We may take immediate action without prior notice where necessary to address serious security risks, unlawful activity, fraud, abuse, or threats to the Services or others.


24. Effect of Termination

Upon termination or suspension, your right to access HACC Gen may immediately cease or be restricted.

Your rights regarding User Content, Generated Content, purchased credits, refunds, licenses, and exported materials following termination are governed by these Terms, the applicable pricing or plan information, and any separate agreement.

Termination does not automatically eliminate obligations that by their nature should survive termination.


25. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Dynamic Pixel Multimedia Solutions, HACC Gen, and their officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

  • your violation of these Terms;
  • your violation of the Acceptable Use Policy;
  • your User Content;
  • your misuse of Generated Content;
  • your infringement or alleged infringement of third-party rights;
  • your unlawful use of the Services; or
  • your use of HACC Gen in violation of applicable law.

This obligation does not apply to the extent that a claim results from Dynamic Pixel's own established wrongdoing or liability that cannot lawfully be excluded.


26. Disclaimers

To the maximum extent permitted by applicable law, HACC Gen is provided on an "as available" and "as is" basis.

We make no warranties, express or implied, regarding:

  • accuracy of AI-generated output;
  • completeness of Generated Content;
  • fitness for a particular purpose;
  • merchantability;
  • uninterrupted availability;
  • compatibility with every system;
  • non-infringement of third-party rights in Generated Content; or
  • the results obtained from using the Services.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.


27. Limitation of Liability

To the maximum extent permitted by applicable law, Dynamic Pixel Multimedia Solutions and HACC Gen will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or relating to your use of the Services.

To the maximum extent permitted by applicable law, Dynamic Pixel's total aggregate liability arising out of or relating to the Services will be limited to the amount paid by you to Dynamic Pixel for the HACC Gen Services giving rise to the claim during the twelve months preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded.


28. Your Responsibility for Deployment

You are responsible for determining whether HACC Gen-generated content is suitable for your intended audience, jurisdiction, organization, course, training program, or commercial use.

You are also responsible for:

  • reviewing content before deployment;
  • ensuring appropriate accessibility and inclusivity;
  • verifying factual and regulatory information;
  • obtaining required approvals;
  • complying with applicable educational or professional standards; and
  • ensuring that final published content meets your organization's requirements.

HACC Gen is a content-development tool and does not assume responsibility for the educational, commercial, professional, or operational consequences of your deployment decisions.


29. Feedback

If you provide suggestions, ideas, feature requests, or other feedback regarding HACC Gen, you grant Dynamic Pixel permission to use that feedback without restriction or compensation, provided that such use does not disclose your confidential information.

You retain ownership of any underlying intellectual property in your feedback where applicable.


30. Electronic Communications

By using HACC Gen, you agree to receive electronic communications relating to your account, transactions, security, Services, and material policy or Terms changes.

You may also receive product or marketing communications where permitted by applicable law and subject to available communication preferences.


31. Changes to These Terms

We may update these Terms from time to time.

Changes may be made to reflect:

  • changes to HACC Gen;
  • new features or services;
  • changes in law or regulation;
  • security requirements;
  • changes to third-party technologies; or
  • changes in our business practices.

The updated Terms will be made available through HACC Gen.

Where required by applicable law, we will provide additional notice of material changes.

Your continued use of HACC Gen after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.


32. Governing Law and Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory rights or remedies available under applicable law, courts located in Ghaziabad, Uttar Pradesh, India will have jurisdiction over disputes arising from or relating to these Terms or the Services.

For enterprise customers or customers covered by a separate written agreement, the governing law and dispute-resolution provisions of that agreement may apply instead.


33. General Provisions

33.1 Entire Agreement

These Terms, together with the policies and agreements incorporated into them, constitute the agreement between you and Dynamic Pixel concerning your use of HACC Gen, unless a separate written agreement applies.

33.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

33.3 No Waiver

Failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.

33.4 Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where permitted by law.

Dynamic Pixel may assign these Terms in connection with a merger, acquisition, restructuring, sale of substantially all relevant assets, or similar transaction.

33.5 Force Majeure

Dynamic Pixel will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, telecommunications failures, internet failures, cyber incidents, infrastructure failures, or failures of third-party service providers.
